These Terms of Service ("Terms") govern your use of Pickitoo Connect,
a SaaS integration platform operated by UAB Greituolis.

By accessing or using the Service, you agree to these Terms.
1. SERVICE DESCRIPTION
Pickitoo Connect is a cloud-based integration platform that enables
customers to connect internal systems with external services,
marketplaces, and APIs using event-based architecture.
2. ACCOUNTS
You must provide accurate and complete information when creating an
account.
You are responsible for maintaining the confidentiality of your
credentials and for all activities under your account.
3. PRICING AND BILLING
The Service is provided on a subscription anor usage-based model:
Subscription fees are billed in advance on a monthly or annual
basis
Usage-based fees (e.g. per event, API call, or transaction) are
billed monthly in arrears
Charges apply for:
Active subscription periods
Processed events and integrations
3.1. PAYMENT PROCESSING
Payments are processed via third-party payment providers (e.g.
Stripe). By subscribing, you authorize Pickitoo Connect to charge
your payment method on a recurring basis.
3.2. SUBSCRIPTION BILLING
Subscriptions are billed in advance at the start of each billing
period (monthly or annual).
Usage-based charges (including but not limited to events, API calls,
or processed transactions) are billed in arrears at the end of each
billing period.
Invoices must be paid within the agreed payment term.
3.3. USAGE MEASUREMENT
Usage is measured by Pickitoo Connect systems and logs and is
considered final and binding.
3.4. AUTO-RENEWAL
All subscriptions automatically renew unless cancelled prior to the
renewal date.
3.5. PLAN CHANGES
Upgrades take effect immediately and may be prorated
Downgrades take effect at the next billing cycle
3.6. FAILED PAYMENTS
If a payment fails:
We may retry the charge automatically
We may suspend access after 7 days
We may terminate after 14 days of non-payment
3.7. TAXES
Prices are exclusive of VAT unless stated otherwise.
Customer is responsible for applicable taxes.
3.8. NO REFUNDS
Payments are non-refundable unless required by law.
No refunds are provided for partial usage.
3.9. PRICE CHANGES
We may update pricing with 30 days' notice.
Continued use constitutes acceptance.
3.10. ENTERPRISE CONTRACTS
Custom pricing agreements override standard pricing terms.
4. FREE TRIAL
We may offer a free trial with limited features or usage.
The trial may automatically convert into a paid subscription unless
cancelled.
5. ACCEPTABLE USE
You agree not to:
Use the Service for unlawful purposes
Interfere with or disrupt the platform
Attempt unauthorized access
Overload infrastructure or abuse APIs
6. DATA PROCESSING
You are the Data Controller.
UAB Greituolis acts as a Data Processor.
You are responsible for ensuring that all data processed via the
Service complies with applicable laws.
7. SERVICE AVAILABILITY
We aim to provide high availability (target uptime: 99.5%).
However, the Service is provided "as is" without guaranteed
uninterrupted operation.
8. TERM AND TERMINATION
You may cancel your subscription at any time. Cancellation takes
effect at the end of the billing period.
We may suspend or terminate access if:
Payment is overdue
Terms are violated
Upon termination:
Data is retained for up to 30 days
After that, it is permanently deleted
9. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
We are not liable for indirect or consequential damages
Total liability is limited to fees paid in the last 12 months
10. GOVERNING LAW
These Terms are governed by the laws of the Republic of Lithuania.
